Terms of service

These Terms of Service (the “Terms”) set forth the conditions governing the use of the online store (the “Site”) operated by VIRES (“VIRES,” “we,” “us,” or “our”).
By using the Site, you acknowledge that you have reviewed and agreed to these Terms.

Article 1 — Scope
These Terms apply to all relationships between VIRES and customers arising from browsing the Site, purchasing products, or otherwise using the Site.
Any policies, notices, guidelines, or other information published on the Site shall also form part of these Terms.

Article 2 — Product Purchases
Customers may place orders for products in accordance with the procedures specified on the Site.
Please review all order details carefully before completing your order.
A sales contract between VIRES and the customer is formed when VIRES sends an order confirmation email to the customer.

Article 3 — Prices and Payment
The selling price of each product shall be the price displayed on the relevant product page.
In addition to the product price, customers may be responsible for shipping fees and any other charges displayed on the Site.
For information regarding available payment methods and payment timing, please refer to the “Legal Notice under the Act on Specified Commercial Transactions” and other applicable information provided on the Site.

Article 4 — Shipping
Dispatch times, shipping fees, international shipping, and other shipping conditions shall be governed by the Shipping Policy published on the Site.
Customers are responsible for ensuring that the shipping address, recipient name, and other delivery information provided at the time of purchase are accurate.
If an order cannot be delivered due to an incorrect shipping address provided by the customer, prolonged absence, refusal to accept delivery, or other circumstances attributable to the customer, the customer may be responsible for redelivery charges and any other resulting costs.

Article 5 — Pre-Order Items
Pre-order items will be dispatched according to the estimated shipping schedule stated on each product page.
The estimated shipping schedule may change due to production conditions, inventory availability, transportation circumstances, or other unavoidable reasons.
If the estimated shipping schedule changes, affected customers will be notified by email or other appropriate means where necessary.

Article 6 — Returns, Exchanges and Cancellations
Returns and exchanges are subject to the Returns & Exchanges policy published on the Site and the conditions set forth in the “Legal Notice under the Act on Specified Commercial Transactions.”
Once an order has been confirmed, cancellations, changes, returns, or exchanges requested for reasons of customer preference will not be accepted.
If an item arrives defective or damaged, or if you receive an item different from what you ordered, please contact us within 7 days of delivery.

Article 7 — Refusal or Cancellation of Orders
VIRES may refuse an order or cancel an existing sales contract if we reasonably determine that any of the following circumstances apply:
・The information provided in the order contains false information, errors, or material omissions.
・Payment cannot be successfully completed.
・Fraudulent payment methods or fraudulent orders are suspected.
・The product cannot be supplied due to insufficient inventory, discontinuation of production, or other unavoidable circumstances.
・We reasonably determine that the purchase is intended for resale or another purpose other than ordinary personal purchase.
・A violation of these Terms has been identified.
・The order may cause damage, disadvantage, or inconvenience to VIRES or any third party.
・VIRES otherwise reasonably determines that accepting the order would be inappropriate.
If a sales contract is cancelled, payments and any other related matters will be handled appropriately in accordance with applicable laws and the status of the relevant payment transaction.

Article 8 — Prohibited Conduct
Customers must not engage in any of the following activities when using the Site:
・Violating applicable laws, regulations, or public order and morals.
・Engaging in criminal conduct or conduct related to criminal activity.
・Registering or submitting false information.
・Impersonating another person.
・Using fraudulent or unauthorized payment methods.
・Purchasing products for resale, redistribution, or other commercial purposes where VIRES reasonably determines such activity to be inappropriate.
・Interfering with the operation of the Site or VIRES.
・Infringing upon the rights, interests, reputation, or credibility of VIRES or any third party.
・Gaining unauthorized access to systems related to the Site.
・Improperly collecting, reproducing, or using information from the Site.
・Engaging in any other conduct that VIRES reasonably determines to be inappropriate.

Article 9 — Intellectual Property Rights
All copyrights, trademark rights, design rights, and other intellectual property rights or related rights in connection with the Site and VIRES, including but not limited to the brand name, logos, names, written content, copy, photographs, images, illustrations, graphics, product designs, patterns, motifs, color schemes, layouts, packaging, tags, printed materials, videos, music, audio recordings, lyrics, stories, characters, concepts, and all other content, belong to VIRES or to third parties who lawfully hold such rights.
Except where permitted by applicable law, customers and other users of the Site may not, without prior permission from VIRES or the relevant rights holder, engage in any of the following activities with respect to all or any part of such content:
・Reproducing, republishing, modifying, adapting, processing, editing, distributing, publicly transmitting, selling, or otherwise using the content beyond the scope permitted by applicable law.
・Using the content in connection with products, services, advertisements, websites, social media, videos, printed materials, or other creative or commercial activities.
・Imitating product designs, patterns, compositions, color schemes, graphics, packaging, copy, stories, presentation styles, or other expressive characteristics, or using such elements to create, manufacture, sell, or provide products or services.
・Combining all or part of VIRES products, content, or brand expressions to create or use products, services, advertisements, websites, or other materials that give the same or substantially similar impression as VIRES products, services, or branding.
・Using VIRES content in a manner that may falsely suggest an affiliation, collaboration, authorization, supervision, endorsement, or other relationship with VIRES.
・Using VIRES products, images, written content, music, stories, or other content without permission as materials, resources, or references for third-party product development, advertising production, design work, or any other commercial purpose.
・Using VIRES content in a manner that damages or may damage the value, reputation, credibility, or distinctiveness of the VIRES brand.
・Engaging in any other activity that infringes or may infringe the intellectual property rights or other rights of VIRES or any third party.
If VIRES identifies conduct that infringes or may infringe its intellectual property rights or other rights, VIRES may request that such conduct cease, that the relevant content be removed, that sales of the relevant products be discontinued, or that other necessary measures be taken, and may take appropriate action in accordance with applicable law.
Nothing in these Terms grants customers or any third party any license or right to use intellectual property rights or other rights relating to the Site or VIRES.

Article 10 — System and Technical Requirements
Customers are responsible, at their own expense, for providing the internet connection, devices, communications equipment, and other systems necessary to use the Site.
Certain portions of the Site may not display or function properly depending on the customer's internet connection, device, browser, settings, or other technical environment.

Article 11 — Changes, Suspension or Discontinuation of Services
VIRES may change, suspend, or discontinue all or part of the Site in any of the following circumstances:
・Maintenance, inspection, or updates to the Site are required.
・System failures, communication failures, or other technical problems occur.
・Fire, power outages, natural disasters, or other events beyond our reasonable control occur.
・VIRES otherwise reasonably determines that such action is necessary for the operation of the Site.
Where a customer suffers damage due to circumstances attributable to VIRES, VIRES's liability shall be determined in accordance with applicable law.

Article 12 — Product Specifications and Representations
VIRES makes reasonable efforts to display product colors, textures, sizes, and other specifications as accurately as possible.
However, slight differences may occur between the actual product and its appearance on the Site due to the customer's device, display settings, manufacturing processes, or other circumstances.
Product specifications, designs, packaging, or other elements may also be changed without prior notice, provided that such changes do not materially affect the quality or functionality of the product.

Article 13 — Personal Information
VIRES will appropriately handle personal information obtained through use of the Site in accordance with our separately established Privacy Policy.

Article 14 — Use by Minors
Customers who are minors must obtain the consent of their parent, legal guardian, or other legal representative before purchasing products through the Site.

Article 15 — Changes to These Terms
VIRES may revise these Terms when necessary due to changes in applicable laws, changes to the services provided through the Site, or other circumstances.
If these Terms are revised, the details of the changes and their effective date will be announced on the Site or by another appropriate method.
Any revision to these Terms shall be made where the revision is in the general interests of customers, or where the revision is reasonable in light of the necessity of the change, the appropriateness of the revised terms, and other relevant circumstances.

Article 16 — Governing Law and Dispute Resolution
These Terms and the use of the Site shall be governed by the laws of Japan.
However, nothing in these Terms shall exclude the application of any mandatory consumer protection or other mandatory laws applicable in the country or region in which the customer resides.
If any dispute arises in connection with the use of the Site or these Terms, VIRES and the customer shall seek to resolve the matter in good faith through mutual consultation.
